Welcome to Reimagine, an app provided by Picture Perfect Inc. ("Picture Perfect," "we," or "us"). These Terms of Use ("Terms") govern your access to and use of our mobile application (the "App"), including any content, functionality, products, and services offered on or through the App.
By downloading, installing, or otherwise accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, access or use the App.
You must be at least 13 years old to use the App. If you are under 18, you may only use the App with the consent and supervision of a parent or legal guardian.
Subject to your compliance with these Terms, Picture Perfect grants you a limited, revocable, non-exclusive, non-transferable license to download, install, and use one copy of the App solely for your personal, non-commercial use. You may not copy, modify, distribute, sell, or lease any part of the App.
The App allows you to upload and share photos, images, videos, and other content ("User Content"). You retain ownership of your User Content. However, by uploading or sharing User Content, you grant us a worldwide, royalty-free, sublicensable, and transferable license to host, store, modify, reproduce, publicly display, and distribute your User Content in connection with operating and providing the App.
You represent and warrant that you have all necessary rights to grant us the license described above, and that your User Content, and our use of such User Content as permitted by these Terms, do not and will not violate or infringe any third party rights.
You agree not to misuse the App or assist anyone else in doing so. For example, you will not:
We reserve the right to remove or disable access to any User Content or terminate your access to the App for any reason or no reason, including if we determine that you have violated these Terms.
The App and all content therein, including all intellectual property rights, are the exclusive property of Picture Perfect and its licensors. You acknowledge that the App contains proprietary trade secrets and agree not to reverse engineer, decompile, disassemble, or access the source code of the App or attempt to locate, copy, or disclose such source code.
THE APP AND ANY CONTENT THEREIN ARE PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PICTURE PERFECT DISCLAIMS ANY AND ALL WARRANTIES AND REPRESENTATIONS EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
IN NO EVENT SHALL PICTURE PERFECT BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, USE, DATA, OR OTHER INTANGIBLES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to defend, indemnify, and hold harmless Picture Perfect, its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorney's fees) arising from: (i) your use of the App; (ii) your User Content; or (iii) your violation of these Terms.
We may occasionally update these Terms. When we do, we will revise the "Effective Date" at the top. Your continued use of the App constitutes acceptance of the updated Terms. If you do not agree to the updates, you must stop using the App.
These Terms are governed by the laws of the State of Delaware without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be resolved exclusively in the state or federal courts located in Delaware.
If any provision of these Terms is found unenforceable, it will be severed without affecting the enforceability of the remaining provisions. These Terms constitute the entire agreement between you and Picture Perfect relating to your use of the App.
